| Kenneth J. Abner kabner@bdj-law.com Mr. Abner has an unusual breadth of transactional law experience that spans both corporate and real estate law. He began his career with a large Charlotte law firm, Robinson, Bradshaw & Hinson, P.A., where his practice was split between representing commercial and multi-family real estate developers and handling mergers and acquisitions and general corporate matters for small and mid-size companies. Mr. Abner’s corporate law practice spans the full life-cycle of a business with a particular emphasis on business ownership and transfer issues. Those issues include structuring start-ups, assisting with the purchase and sale of a business, preparing shareholder and operating agreements, and implementing employee stock option and bonus plans. Mr. Abner also routinely assists business owners with other corporate matters including bank financing (including SBA loans), employment contracts and general business contracts. Mr. Abner’s real estate practice involves representing owners and developers of real property in purchase and sale transactions, negotiating and closing acquisition, construction and permanent financing, negotiating and closing mezzanine and equity financing. Mr. Abner also has extensive experience in various entitlement processes including rezonings, site plan approval, building permits, and agreements with CDOT, CMUD, and other local governmental agencies and utilities. Mr. Abner also represents landlords and tenants in negotiating leases, lease extensions, lease terminations and subordination agreements. |
